1. Acceptance of Terms
By accessing this website, booking a consultation call, or commissioning Diamond for software development, GoHighLevel CRM setup, AI automation, or e-commerce design, you agree to be bound by these Terms of Service.
If you are accepting these terms on behalf of a company or legal entity, you represent and warrant that you have full authority to bind that entity to these conditions.
2. Scope of Engineering Services
Diamond provides specialized technical consultancy and custom software development, including:
- GoHighLevel CRM Engineering: Pipeline construction, custom snapshot builds, lead routing, SMS/email nurture sequences, and membership portals.
- AI Agents & Voice Automation: Conversational AI integration, Retell AI / Vapi voice synthesis setup, and intelligent lead qualification bots.
- Custom Web & API Integration: Full-stack web apps, n8n/Make webhook pipelines, custom REST APIs, and database architecture.
- Shopify E-Commerce Optimization: High-converting store designs, Klaviyo email automation, and conversion rate optimization (CRO).
3. Client Responsibilities & Access
To ensure timely project execution according to agreed milestones, the client agrees to:
- Provide clear, detailed project goals, brand assets, copy, and structural feedback within 48 hours of review requests.
- Grant necessary API access, sandbox admin permissions, or webhook access tokens required for system integration.
- Maintain active subscriptions to third-party software platforms required for their stack (e.g., GoHighLevel, Make.com, OpenAI API, Twilio).
4. Payments, Milestones & Escrow
Unless otherwise specified in a custom written agreement or Fiverr order contract:
- Fixed-Price Contracts: Projects require a 50% upfront deposit before work commences, with the remaining 50% due upon final deployment and testing sign-off.
- Fiverr Orders: Payments are processed securely via Fiverr escrow protection governed by Fiverr platform terms.
- Out-of-Scope Requests: Features requested outside the initial agreed brief will be estimated and billed separately as scope addendums.
5. Code Ownership & Intellectual Property
Upon receipt of final, full payment for the contract deliverables:
The client receives full, exclusive ownership of all custom code, GoHighLevel snapshots, automation workflows, and graphical assets engineered specifically for their project. Diamond retains non-exclusive rights to display non-confidential project case studies and visual screenshots in portfolio showcases.
6. Warranties & Post-Launch Support
All custom builds come with a 14 to 30-day post-launch warranty period commencing on final handover:
- Any bugs or deviations from the agreed specification identified during this period will be fixed promptly at zero extra cost.
- The warranty does not cover issues resulting from client modifications, third-party platform API breaking changes, or non-payment of third-party software subscriptions.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Diamond shall not be liable for indirect, incidental, or consequential damages, lost profits, or third-party platform downtime (e.g., Twilio outage or OpenAI API downtime). Total aggregate liability for any claim shall not exceed the total amount paid by the client for the specific project in question.
